Service Availability and Updates

• Reverse engineering, decompiling, or disassembling our software
• Using automated tools to access or scrape our Services without permission
• Impersonating any person, entity, or IT Chickprofi representative
• Creating multiple accounts to evade restrictions or limitations

Commercial and Legal Violations

• Using the Services for any illegal or unauthorized commercial purpose
• Violating any applicable local, state, national, or international laws
• Engaging in any form of harassment, discrimination, or hate speech
• Attempting to sell, resell, or commercialize access to our Services without authorization

5. Data Ownership, Privacy, and Security

Your privacy and data security are fundamental to our service. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.

Client Data Ownership and Rights

You retain full ownership of all data, content, and information you provide to IT Chickprofi ("Client Data"). We process your Client Data solely to provide our Services and as described in our Privacy Policy. You grant us a limited, non-exclusive license to use your Client Data for service provision, analysis, and improvement purposes.

6. Payment Terms, Billing, and Subscription Management

Access to our Services may require payment of fees based on your selected subscription plan or service package.

Subscription Plans and Pricing

• Fees are based on your selected subscription tier and usage levels
• Subscription fees are billed in advance on a monthly or annual basis
• Custom enterprise pricing is available for large-scale implementations
• All fees are exclusive of applicable taxes, which are your responsibility

All rights, title, and interest in and to the Services, including but not limited to software, algorithms, user interfaces, documentation, and analytical methodologies, remain the exclusive property of IT Chickprofi and its licensors.

Limited License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes during the term of your subscription.

Restrictions on Use

• Scheduled maintenance windows will be announced in advance when possible
• Emergency maintenance may be performed without prior notice

Factors Affecting Service Availability

Service availability may be affected by factors including but not limited to scheduled maintenance, emergency repairs, third-party service dependencies, network connectivity issues, and circumstances beyond our reasonable control.

9. Limitation of Liability and Disclaimers

To the maximum extent permitted by applicable law, IT Chickprofi's liability is limited as follows:

Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Damages

In no event shall IT Chickprofi be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, whether arising from contract, tort, or any other legal theory.

Maximum Liability Cap

Our total liability to you for all claims arising from or related to these Terms or the Services shall not exceed the amount paid by you to IT Chickprofi in the twelve (12) months preceding the claim.

10. Indemnification and Hold Harmless

You agree to indemnify, defend, and hold harmless IT Chickprofi, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

• Your use or misuse of the Services
• Your violation of these Terms or applicable laws
• Your Client Data or any content you submit through the Services
• Any third-party claims related to your use of the Services
• Your breach of any representations or warranties made in these Terms

11. Termination and Suspension

Either party may terminate this agreement under the following circumstances:

Termination by You

You may terminate your account and subscription at any time by providing written notice or using the cancellation features in your account dashboard. Termination will be effective at the end of your current billing period.

Termination by IT Chickprofi

We may terminate or suspend your access immediately, without prior notice, for any reason including but not limited to breach of these Terms, non-payment of fees, or violation of our Acceptable Use Policy.

Effect of Termination

• Your right to access and use the Services will cease immediately
• We will provide reasonable opportunity to export your Client Data
• Outstanding fees and charges remain due and payable
• Provisions that by their nature should survive termination will continue in effect

12. Modifications to Terms and Services

We reserve the right to modify these Terms and our Services at any time. Material changes will be communicated through:

• Email notification to your registered email address
• Prominent notice on our website and platform
• In-app notifications for significant changes
• Direct communication for substantial modifications

Your continued use of the Services after any modifications indicates your acceptance of the updated Terms. If you do not agree to the modifications, you must discontinue use of the Services.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Belgium, without regard to conflict of law principles.

Jurisdiction and Venue

Any disputes arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Belgium. Both parties consent to personal jurisdiction in these courts.

Alternative Dispute Resolution

Before pursuing formal legal action, parties agree to attempt resolution through good faith negotiation and, if necessary, mediation through a mutually agreed-upon mediator.
